Item 2.02 Results of Operations and Financial Condition.

After taking into account the previously disclosed issuance of 8,508,056 shares of common stock to holders of the company's 2.875% Convertible Senior Notes due 2021 who converted their notes into common stock and the repurchase of 788,894 shares under the company's stock repurchase program, as of December 31, 2017, the total number of shares of common stock issued was 50,619,808 and the total number of shares of common stock outstanding was 49,405,365.
