Item 8.01 Other Events.

On June 16, 2021, the board of directors of Commercial Metals Company (NYSE: CMC) (“CMC”) declared a regular quarterly cash dividend of $0.12 per share of CMC common stock, payable on July 14, 2021 to stockholders of record as of the close of business on June 30, 2021. On June 16, 2021, CMC issued a press release announcing the dividend, a copy of which is attached as Exhibit 99.1 to this report and incorporated herein by reference.
