                 Merger of Granada and Carlton to form ITV plc

                              Listing Application


Application has been made to the UK Listing Authority for up to 4,349,909,051
ITV Ordinary Shares and 142,281,227 ITV Convertible Shares to be admitted to the
Official List, and to the London Stock Exchange for the ITV Ordinary Shares and
the ITV Convertible Shares to be admitted to trading on the London Stock
Exchange's market for listed securities.  It is expected that, subject to the
sanction of the Ordinary Shareholder Schemes by the High Court, the listing of
the new ITV Shares will become effective and that dealings, for normal
settlement, will commence at 8.00 a.m. on 2 February 2004.

Application has been made to the UK Listing Authority for the cancellation of
the listing of the Granada Shares and the Carlton Ordinary Shares on the
Official List and to the London Stock Exchange for the cancellation of the
admission to trading of the Granada Shares and the Carlton Ordinary Shares on
the London Stock Exchange's market for listed securities, in each case expected
to take effect at 8.00 a.m. on 2 February 2004.

Words and expressions defined in the Listing Particulars and/or the Scheme
Document dated 8 December 2003 relating to the proposed merger of Granada and
Carlton have the same meaning when used in this announcement unless the context
otherwise requires.
