               Result of Annual General Meeting and share issue

Cater Barnard (USA) plc, the US based investment banking, financial advisory,
brokerage and research services company, announces that all resolutions were
passed (other than Resolution 5 proposing a share split which was withdrawn) at
the Annual General Meeting of the Company held earlier today, including the
change of name of the Company to Griffin Group plc.

Pursuant to the placing of 3,800,000 ordinary shares of 5p each in the capital
of the Company ("Ordinary Shares") announced on 9 December 2003, Global
Investments Limited ("Global"), the trustee of a trust in which Stephen Dean (a
director of the Company) has a beneficial interest, has now acquired today
800,000 ordinary shares at a price of 5p per ordinary share. As a consequence
Global now holds 7,500,000 ordinary shares in the Company representing 22.4 per
cent. of the issued ordinary share capital of the Company.
