Item 5.02      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 30, 2016, Wendy S. Radtke, Senior Vice President and Chief Human Resources Officer of Babcock & Wilcox Enterprises, Inc. (the “Company”), notified the Company that she would be resigning, effective December 31, 2016, to accept a role at another company.

The Company is grateful to Ms. Radtke for her service and many contributions.
