Explanation of Responses:
(1)	Stock Awards granted pursuant to the Berkshire Hills Bancorp, Inc. 2013 Equity Compensation Plan vest 40% in four equal annual installments beginning on October 1, 2016 with the remaining 60% vesting on October 1, 2020.
(2)	Stock Awards granted pursuant to the Berkshire Hills Bancorp, Inc. 2013 Equity Compensation Plan vest in three annual installments beginning on January 30, 2018.
(3)	Stock Awards granted pursuant to the Berkshire Hills Bancorp, Inc. 2013 Equity Compensation Plan vest in three annual installments beginning on January 30, 2019.
(4)	Stock Awards granted pursuant to the Berkshire Hills Bancorp, Inc. 2013 Equity Compensation Plan vest in three equal annual installments beginning on January 30, 2020.

(6)	On January 30, 2016 the reporting person was granted 3,150 shares of restricted stock subject to a three-year cliff vesting schedule and subject to the satisfaction of certain performance criteria. The shares vested at 90.86% of target, resulting in the vesting of 2,863 shares of restricted stock, and were transferred to the executive on February 21, 2019.
