Item 1.01.  Entry into a Material Definitive Agreement.

 

The disclosure under Item 2.03 of this report relating to the amendment of the credit agreement of B&G Foods, Inc. is incorporated in this Item 1.01 by reference.

 

Item 2.03.  Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of Registrant.

 

On March 30, 2017, we amended our credit agreement, dated as of October 2, 2015, among B&G Foods, as borrower, the several banks and other financial institutions or entities from time to time party thereto as lenders and Barclays Bank PLC, as administrative agent and collateral agent.

 

The amendment, among other things, reduces by 75 basis points the spread over LIBOR or the applicable base rate on approximately $640 million of tranche B term loans.

 

A copy of the amendment is filed as Exhibit 10.1 to this report.  A copy of the press release issued by B&G Foods to announce our entry into the amendment is filed as Exhibit 99.1 to this report.
