Explanation of Responses:
(1)	Sales of shares to cover tax withholding obligation incurred upon settlement of RSUs that vested on February 15, 2020 (the initial acquisition of which had already been reported on Table I), executed pursuant to a Rule 10b5-1 trading plan entered into by reporting person. Proceeds of sales were tendered to the issuer for payment to the applicable taxing authorities.
(2)	The price reported is a weighted average price. These shares were sold in multiple transactions ranging from $11.22 to $11.62, inclusive. The reporting person undertakes to provide Bloom Energy Corporation, any security holder of Bloom Energy Corporation, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth above.
(3)	Includes 2,500 shares acquired on February 14, 2020 pursuant to Issuer's Employee Stock Purchase Plan.
(4)	Held by The Venkataraman Living Trust UTA dtd 6/8/2011 of which the reporting person is a trustee.
