Item 1.01. Entry into a Material Definitive Agreement.

 

On July 22, 2022, Bain Capital Specialty Finance, Inc. (the “Company”) entered into the Increasing Lender/Joinder Lender Agreement (the “Joinder Agreement”), dated as of July 22, 2022, among the Company, as borrower, Wells Fargo Bank, National Association, as assuming lender, MUFG Union Bank, N.A., as an issuing bank, and Sumitomo Mitsui Banking Corporation, as administrative agent and an issuing bank, pursuant to Section 2.08(e) of the Senior Secured Revolving Credit Agreement, dated as of December 24, 2021 (as amended, supplemented, amended and restated, or otherwise modified from time to time, the “Credit Agreement”), among the Company, as borrower, Sumitomo Mitsui Banking Corporation, as administrative agent, and the lenders and issuing bank party thereto.

 

The Joinder Agreement provides for, among other things, an upsize in the total commitments from lenders under the revolving credit facility governed by the Credit Agreement from $385,000,000 to $485,000,000.
