Baxter International Inc. (BAX) on Thursday said the company named Brian Stevens as the company's senior vice president, chief accounting officer and controller.
Previously, Mr. Stevens had worked at Groupon Inc. (GRPN) as treasurer and chief accounting officer, the company said.
Baxter also said Caroline Karp resigned as senior vice president, controller of the company to pursue other interests and business activities.
Mr. Stevens will hold office until the next annual election of officers and until his successor is elected and qualified, the company said.
Also on Thursday, Baxter said the company amended its bylaws to include an "exclusive forum" provision designating Delaware as the exclusive forum for litigation consisting of derivative actions and actions asserting a breach of fiduciary duty, among other litigations.
