Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 19, 2017, Mr. Robert J. Steines announced his resignation from his position as Vice President and Chief Accounting Officer of AZZ Inc. (the “Company”), effective July 6, 2017. Mr. Steines has accepted an opportunity with another business outside of the Company.
