5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 20, 2019, ASGN Incorporated (the “Company”) terminated the employment of Peter T. Dameris. The Company was not able to negotiate the terms of a transition agreement with Mr. Dameris and terminated him without cause pursuant to his employment agreement.
