Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 13, 2019, as part of its ongoing transformation efforts, Abercrombie & Fitch Co. (the “Company”) made the decision to eliminate the role of Chief Operating Officer, effective immediately. As a result, Joanne C. Crevoiserat, the Company’s Executive Vice President & Chief Operating Officer, will be leaving the Company on June 15, 2019, following a short transition period. As of the date of this Current Report on Form 8-K, the Company and Ms. Crevoiserat had not yet finalized the terms of her separation from service with the Company. 

On May 14, 2019, the Company issued a news release (the “News Release”) announcing this decision. A copy of the News Release is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
