Explanation of Responses:
(1)	Each performance stock unit ("PSU") represents the right to receive one share of Class A Common Stock within 30 days following vesting. The PSUs were approved by the Issuer's board of directors on February 26, 2020, and will expire on February 26, 2030, unless earlier vested. The grant was made pursuant to the AMC Entertainment Holdings, Inc. 2013 Equity Incentive Plan. For additional information on the PSUs, please see the Issuer's Current Report on Form 8-K filed with the SEC on March 3, 2020.
(2)	The PSUs will vest upon attainment of a 20-day volume weighted average closing price ("VWAP") of $12 for the Issuer's Class A Common Stock.
(3)	The PSUs will vest upon attainment of a 20-day VWAP of $16 for the Issuer's Class A Common Stock.
(4)	The PSUs will vest upon attainment of a 20-day VWAP of $20 for the Issuer's Class A Common Stock.
(5)	The PSUs will vest upon attainment of a 20-day VWAP of $24 for the Issuer's Class A Common Stock.
(6)	The PSUs will vest upon attainment of a 20-day VWAP of $28 for the Issuer's Class A Common Stock.
