Explanation of Responses:

(1)

This transaction was an award under the Issuer's 2013 Equity Incentive Plan and Non-Employee Director Compensation Program. Each eligible Director received a stock grant valued at $70,000 and could also elect to receive a portion of the annual cash retainer in stock. The number of shares was determined using the stock's five day trailing average closing price. The stock must be retained for three years or until the end of the Director's service on the Board, if earlier.
