Results of Operations and Financial Condition

On October 25, 2016, Avangrid, Inc. (the “Company”) issued a press release announcing its financial results for the nine-month period ended September 30, 2016. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.

Regulation FD Disclosure

The Company will conduct an audio-only financial presentation on Tuesday, October 25, 2016, beginning at 11:30 a.m., Eastern Time. The Company’s executive management will present an overview of the financial results followed by a question and answer session. Interested parties, including analysts, investors and the media, are able to listen live via the internet by logging onto the investor relations section of the Company’s website at http:// www.avangrid.com. Institutional investors can access the conference via Thomson Street Events (www.streetevents.com), a password-protected event management site. A copy of the Company’s presentation is furnished herewith as Exhibit 99.2 and incorporated by reference herein.
