Yotta Acquisition Corporation Announces Closing of Fully-Exercised Over-Allotment Option in Connection with Its Initial Public Offering

Yotta Acquisition Corporation (“YOTA”) announced today that the underwriters in its initial public offering, pursuant to the terms of the underwriting agreement, fully exercised their over-allotment option and, on April 27, 2022, purchased 1,500,000 units, generating additional gross proceeds of $15,000,000. Each unit consists of one share of common stock, one redeemable warrant to purchase one share of common stock at a price of $11.50 per share and one right to receive one-tenth (1/10) of one share of common stock upon the consummation of an initial business combination.

The units began trading on The Nasdaq Global Market (“Nasdaq”) under the ticker symbol “YOTAU” on April 20, 2022. After the securities comprising the units begin separate trading, the shares of common stock, warrants and rights are expected to be listed on Nasdaq under the symbols “YOTA,” “YOTAW” and “YOTAR,” respectively.
