Item 3.01

Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 25, 2019, YogaWorks, Inc. (the “Company”) filed a Form 25, Notification of Removal From Listing and/or Registration Under Section 12(b) of the Securities Exchange Act of 1934, with the Securities and Exchange Commission to delist the Company’s common stock, par value $0.001 per share, from The NASDAQ Stock Market (“NASDAQ”). Unless otherwise notified by the Company, NASDAQ will permanently suspend the trading of the Company’s common stock on NASDAQ immediately prior to the start of the trading day on Thursday, August 1, 2019.
