Item 2.02      Results of Operations and Financial Condition.

On May 15, 2017, Voxx International Corporation (the “Company”) issued a press release announcing its earnings for the quarter and year ended February 28, 2017. A copy of the release is furnished herewith as Exhibit 99.1.

Item 8.01          Other Events.

On May 16, 2017, the Company held a conference call to discuss its financial results for the quarter and year ended February 28, 2017. The Company has prepared a transcript of that conference call, a copy of which is annexed hereto as Exhibit 99.2.
