Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 17, 2021, the Village Super Market, Inc. Board of Directors appointed Kevin Begley to serve on the Audit Committee of the Board of Directors of the Company and Stephen F. Rooney to serve on the Compensation Committee of the Board of Directors of the Company to fill positions on the Committees previously held by Peter Lavoy, who did not stand for reelection at the 2021 Annual Meeting. Both Mr. Begley and Mr. Rooney have served as Directors of the Company since June 2009.

    The Company’s annual meeting of shareholders was held on December 17, 2021.  The following persons were elected as directors pursuant to the following votes:

    The shareholders approved a proposal to ratify the appointment of KPMG LLP as the Company’s independent registered public accounting firm for the 2022 fiscal year. The vote totals were as follows: For – 47,361,400; Against – 125,820; Abstain – 13,255.

Item 8.01   Other Events

    On December 17, 2021, the Company announced that its Board of Directors declared quarterly cash dividends of $0.25 per Class A common share and $0.1625 per Class B common share.  The dividends will be payable on January 27, 2022 to shareholders of record at the close of business on January 6, 2022.
