Item 8.01.

Other Events.

Notice of Nasdaq Compliance

On June 4, 2024, Venus Concept Inc. (the “Company”) was formally notified by The Nasdaq Stock Market LLC (“Nasdaq”) that the Company had regained compliance with the stockholders’ equity requirement set forth in Nasdaq Listing Rule 5550(b)(1) (the “Equity Rule”). Accordingly, this listing matter has been resolved in the Company’s favor.

The Company is subject to a “Mandatory Panel Monitor,” as defined in Nasdaq Listing Rule 5815(d)(4)(B), through June 4, 2025. If the Company is found to be noncompliant with the Equity Rule within the monitoring period, the Company would not be allowed to provide the Nasdaq Listing Qualifications Staff (the “Staff”) with a plan to regain compliance with the Equity Rule; rather, the Staff would be required to issue a delist determination. In such case, the Company would have the opportunity to request a new hearing before the Panel, which request would stay any further action by the Staff until the time of the hearing.
