Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) and (e) On November 3, 2013, Visteon Corporation (the “Company”), on behalf of certain of its subsidiaries, provided notice of its election to terminate its employment agreements with Mr. Robert C. Pallash, Senior Vice President and President, Global Customer Group, effective as of December 31, 2013.

Mr. Pallash will receive the retirement and involuntary separation benefits as provided under the 2012 Visteon Executive Severance Plan and the other existing plans of the Company and its subsidiaries
