EXPLANATORY NOTE

Visteon Corporation (the “Company”) filed a Current Report on Form 8-K (the “Form 8-K”) with the Securities and Exchange Commission (the “SEC”) on June 17, 2013 to report, among other things, the appointment of the non-executive Chairman of the Board made on June 13, 2013. This Amendment No. 1 on Form 8-K/A amends the Form 8-K to correct the name of the director appointed as the non-executive Chairman, as set forth below.

On June 13, 2013, the Board of Directors of the Company re-appointed Mr. Francis M. Scricco as the non-executive Chairman of the Board.
