Item 5.03			Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On January 27, 2021, the Board of Directors of Univest Financial Corporation (the “Corporation”) amended the Corporations’s Bylaws to add provisions authorizing the Corporation to hold meetings of its shareholders and directors by means of the Internet or other electronic communications technology. A copy of the Amended and Restated Bylaws is filed as Exhibit 3.2 hereto and are incorporated herein by reference.
