(1)	The sales reported in this Form 4 were effected pursuant to a 10b5-1 trading plan adopted by the Reporting Person in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended.
(2)	The option was granted on July 20, 2017, (the "Grant Date"). The shares vested in quarterly installments over the one-year period following the Grant Date with the exception of the last quarterly installment which, per the vesting schedule, vested in full on May 3, 2018, the date of Issuer's 2018 annual meeting of stockholders.
