Explanation of Responses:

The option vests in three equal installments as follows: (i) one-third of the options vest on February 17, 2022 (the later of the date the Reporting Person was appointed as the Issuer's Chief Operating Officer and February 17, 2022), (ii) one-third of the options vest on August 16, 2023 (the second anniversary of the date of grant) and (iii) one-third of the options vest on August 16, 2024 (the third anniversary of the date of grant). The option was granted under the Issuer's 2020 Incentive Award Plan in a transaction exempt under Rule 16b-3.
