Item 2.02 Results of Operations and Financial Condition.

     On November 17, 2008, Transmeta Corporation, a Delaware corporation (“Transmeta”), issued a press release announcing its financial results for the quarter ended September 30, 2008. A copy of the press release is attached to this Current Report as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01 Other Events.

     On November 17, 2008, Transmeta issued a press release announcing that it had entered into a definitive agreement to be acquired by Novafora, Inc. (“Novafora”). A copy of the press release is attached to this Current Report as Exhibit 99.2 and is incorporated herein by reference.
