Explanation of Responses:

1. Represents a grant of performance-based restricted stock units, with each restricted stock unit ("RSU") representing a contingent right to receive one share of Class A common stock of the Issuer. The RSUs will be settled in either Class A common stock of the Issuer or cash (or a combination thereof). These RSUs will vest based on the achievement of certain stock price growth thresholds during three performance periods, each of which begins on the date of grant and ends on the first, second and third anniversary of the date of grant, respectively, and, in each case, subject to the Reporting Person's continued employment through the last day of the applicable performance period, as more fully described in the Issuer's Current Report on Form 8-K, filed on June 5, 2024.
