Submission of Matters to a Vote of Security Holders. |
The following proposals were submitted to the stockholders of Synacor, Inc. (the Company) at the 2019 Annual Meeting of Stockholders held on May 16, 2019:

The election of three directors to serve until the Companys 2022 Annual Meeting of Stockholders or until their successors are duly elected and qualified. |

The ratification of Deloitte & Touche LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2019. |
3. |
The approval, on a non-binding, advisory basis, of the compensation of the Companys named executive officers. |
