Explanation of Responses:

( 1)

This option, which provided for vesting at 1/48 per month over 48 months, was cancelled pursuant to a merger agreement among the Issuer, Copper Acquisition Corporation and Cypress Semiconductor Corporation, in exchange for cash consideration based on the difference between the merger consideration paid for shares of common stock, $2.60 per share, and the exercise price of the option, multiplied by the number of shares subject to the option.
