On September 15, 2008, in accordance with the Agreement and Plan of Merger, dated as of August 1, 2008 (as amended or supplemented from time to time, the "Merger Agreement"), by and among Copper Acquisition Corporation, a Delaware corporation ("Purchaser") and a wholly owned subsidiary of Cypress Semiconductor Corporation, a Delaware corporation ("Cypress"), and Simtek Corporation, a Delaware corporation ("Simtek"), Purchaser and Cypress accepted for purchase shares of Simtek common stock par value $.0001 (the "Shares") that were validly tendered in accordance with the terms and conditions of the tender offer by Purchaser and Cypress to purchase all of the outstanding Shares of Simtek.
