Item 8.01 Other Events.

On February 13, 2018, Sage Therapeutics, Inc. (the “Company”) completed the sale of 3,506,098 shares of its common stock to the underwriters as part of the Company’s previously announced public offering at the public offering price of $164.00 per share, less underwriting discounts and commissions (the “Offering Price”). The Company’s proceeds raised in the offering, after underwriting discounts and commissions, and before estimated expenses of the offering, were approximately $549.1 million. The Company has also granted the underwriters a 30-day option to purchase up to an additional 525,914 shares of its common stock at the Offering Price.
