Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of January 5, 2018, Faraz Ali resigned as Chief Business Officer of REGENXBIO Inc. (the “Company”). The Company has not entered into a separation agreement with Mr. Ali, but may do so at a later date, in which case the details of the separation agreement will be reported at that time.
