Item 5.07 Submission of Matters to a Vote of Security Holders

PDL Community Bancorp (NASDAQ:PDLB), the holding company for Ponce Bank held its annual shareholder meeting on May 10, 2018. The business conducted at the annual meeting consisted of the reelection of two directors and the ratification of the appointment of Mazars USA LLP as independent registered public accounting firm for the year ending December 31, 2018.

Director James C. Demetriou received 14,187,685 “for” votes and 233,500 “withhold” votes.

Director Nick R. Lugo received 14,177,497 “for” votes and 243,688 “withhold” votes.

Mazars USA LLP received 17,503,302 “for” votes, 87,003 “against” votes, and 836 abstentions.

With respect to the reelection of Director James C. Demetriou and Director Nick R. Lugo, there were 3,169,956 broker non votes, respectively.
