According to the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants failed to disclose the existence of a “side letter” arrangement with one of its customers for certain discounts and products that were to be provided at no cost. Omnicell announced on March 2, 2015 that it would be unable to timely file its Form 10-K for the year ended December 31, 2014 until it had the opportunity to investigate the side letter agreement. Omnicell stock dropped significantly immediately following this announcement.
