Explanatory Note

On April 25, 2017, Orion Energy Systems, Inc. (the “Company”) filed a Current Report on Form 8-K with the Securities and Exchange Commission (the “Original Filing”). This amendment to the Original Filing is being made to correct the inadvertent omission of a conformed signature block in the Original Filing.

On April 25, 2017, the Company issued a press release announcing preliminary, unaudited Fiscal 2017 Results. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
