Item 8.01    Other Events

On October 6, 2020, Ocugen, Inc. (the “Company”) issued a press release announcing that it has entered into an agreement with Kemwell Biopharma Pvt. Ltd. to manufacture OCU200, the Company’s novel biologic product candidate in preclinical development for treating severely sight-threatening diseases like diabetic macular edema ("DME"), diabetic retinopathy ("DR"), and wet age-related macular degeneration ("Wet-AMD"). A copy of this press release is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
