Other Events

On January 16, 2018, Nutanix, Inc. issued a press release (the “Launch Press Release”) announcing its intention to offer $400 million aggregate principal amount of convertible senior unsecured notes due 2023 (the “Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act. As required by Rule 135c under the Securities Act, a copy of the Launch Press Release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
