Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 1, 2024, Novanta Inc. (the “Company”) announced that Brian Young, Chief Human Resources Officer (“CHRO”) of the Company, would no longer serve as the CHRO, effective on November 1, 2024, or such earlier date as may be agreed between Mr. Young and determined by the Company. There are no changes to the severance that Mr. Young is entitled to receive pursuant to Section 4(a)(iv) of Mr. Young’s employment agreement dated April 21, 2017. The foregoing summary is qualified in its entirety by reference to the Employment Agreement, a copy of which is filed as Exhibit 10.3 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission as of April 24, 2017, that is incorporated herein by reference.
