NLS Pharmaceutics Ltd. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Annual Report on Form 20-F for the year ended December 31, 2022 (the “Annual Report”). The Company has determined that it is unable to file the Annual Report within the prescribed time period without unreasonable effort or expense. Additional time is necessary as the Company is still working on the completion of the financial statements for the year ended December 31, 2022.

 

The Company currently expects to file the Annual Report within the 15 calendar day extension period provided by Rule 12b-25.
