Item 1.01 Entry Into a Material Definitive Agreement.

On September 26, 2010, New Generation Biofuels Holdings, Inc., a Florida corporation (the “Company”) and its creditor Socius CG II, Ltd (“Socius”) entered into a fully executed settlement agreement approved in an order entered by the Superior Court of the State of California for the County of Los Angeles on September 27, 2010, pursuant to which the Company issued 5,950,000 shares of its common stock to Socius in exchange for a bona fide claim of indebtedness of $530,833, resulting in the Company having shareholder’s equity in excess of $2.5 million as of the date hereof.
