Item 8.01

Other Events

As previously reported, Mid Penn Bancorp, Inc. (the “Company”), entered into an underwriting agreement, dated as of November 1, 2024 (the “Underwriting Agreement”), with Stephens Inc. and Piper Sandler & Co., as representatives of the underwriters named therein (the “Underwriters”), relating to the offering of 2,375,000 shares of the Company’s common stock, par value $1.00 per share (the “Common Stock”), at a public offering price of $29.50 per share in an underwritten public offering. The Company also granted the Underwriters a 30-day option to purchase up to an additional 356,250 shares of the Company’s Common Stock at the public offering price, less underwriting discounts (the “Option”).

On November 5, 2024, the Company and the Underwriters completed the issuance and sale of 356,250 shares of the Company’s Common Stock pursuant to the exercise of the Option.
