Explanation of Responses:

(1)

Each performance share represented a contingent right to receive a share of the Company's common stock upon the Company's attainment of certain levels of average price per share of the common stock, calculated based on the closing price of the common stock over any twenty consecutive trading days during the period from November 8, 2018 to November 8, 2023. On May 22, 2019, the Company issued 19,800 shares of restricted stock pursuant to the achievement of such performance objectives. The restricted stock will vest on November 8, 2023.
