Item 8.01    Other Events.

On August 20, 2024, Mill City Ventures III, Ltd. (“Mill City”) terminated negotiations with Mustang Funding, LLC (“Mustang”) for a potential merger transaction between Mustang and Mill City.  The termination is being formalized in writing and terminates the non-binding letter of intent that the parties had entered into on December 5, 2022.
