Explanation of Responses:
( 1)	In connection with estate planning, the shares were transferred to three separate irrevocable trusts, for which reporting person is a trustee, in exchange for a promissory note. The principal amount of the note was based on a price per share of $17.72. The note provides for the payment of interest at an annual rate of 1.67%.
