Item 8.01 Other Events.

 

As previously reported, on May 18, 2017, Moleculin Biotech, Inc. (the “Company”) received a deficiency letter from the Listing Qualifications Department (the “Staff”) of the Nasdaq Stock Market (“Nasdaq”) notifying the Company that for the last 30 consecutive business days the bid price for the Company’s common stock had closed below the minimum $1.00 per share requirement for continued inclusion on the Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Rule”).

 

In accordance with Nasdaq Listing Rule 5810(c)(3)(A) (the “Compliance Period Rule”), the Company was provided 180 calendar days, or until November 14, 2017 (the “Compliance Date”), to regain compliance with the Bid Price Rule. To regain compliance with the Bid Price Rule, before the Compliance Date, the bid price for the Company’s common stock needed to close at $1.00 or more for a minimum of 10 consecutive business days.

 

On July 6, 2017, the Company received a letter from NASDAQ notifying the Company that it had regained compliance with NASDAQ Listing Rule 5550(a)(2) as a result of the closing bid price of the Company’s common stock being at $1.00 per share or greater for the 10 consecutive business days from June 21, 2017 through July 5, 2017.

 

Accordingly, the Company is in compliance with the Bid Price Rule and NASDAQ considers the matter closed.
