Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On October 26, 2024, Mr. Martin Tian informed the Board of Directors (the “Board”) of Landsea Homes Corporation (the “Company”) of his intention to step down from his role as a member of the Board, effective the same day. Landsea Holdings Corp. (“Holdings”) has informed the Company that it intends to designate a replacement director, in accordance with the Fourth Amended and Restated Stockholder’s Agreement by and between the Company and Holdings.

 

Mr. Tian’s decision to resign from the Board was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
