Item 8.01 Other Events

On April 21 , 2017 , Fidelity Southern Corporation (“Fidelity ” ) issued a press release announcing its Board of Directors on April 20, 2017 approved the distribution of a quarterly cash dividend of $0.12 per share on its Common Stock. This dividend is payable May 15, 2017, to shareholders of record on May 2, 2017. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
