Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On January 11, 2018, the Company received notice from NASDAQ that due to the appointment of Sarah Johnson as an Independent Director to the Company’s Audit Committee, NASDAQ Staff has determined that the Company has regained compliance with Listing Rule 5605(c)(2).
