Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

(b)     Mr. Sanjay Gupta, a director of ICF International, Inc. (the “Company”), resigned from the Company’s Board of Directors, effective September 30, 2018. Mr. Gupta’s decision to resign did not involve any disagreement with the Company, the Company’s management or the Board of Directors.
